Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Replyr (the “Service”), a Shopify application that replies to a merchant’s Instagram direct messages with AI-generated answers grounded in the merchant’s Shopify product catalog. By installing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The service

Replyr connects a merchant’s Shopify store and an Instagram professional account, and automatically sends AI-generated replies to incoming Instagram messages. The Service depends on third-party platforms (Shopify, Meta/Instagram) and an AI provider, and its availability is subject to those platforms.

Eligibility & accounts

You must own or be authorized to manage the Shopify store and Instagram account you connect, and you are responsible for keeping your credentials secure and for all activity under your account.

Acceptable use

• Use the Service only in compliance with these Terms and with the terms and policies of Shopify and Meta/Instagram.
• Do not use the Service to send spam, unlawful, deceptive, harassing, or infringing content.
• Do not attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service or its infrastructure.

Third-party platforms

Your use of the Service is also subject to the Shopify Terms of Service and the Meta Platform Terms and Instagram policies. You are responsible for complying with those terms. We are not responsible for changes to, or actions taken by, those platforms that affect the Service.

AI-generated content

Replies are generated automatically by an AI model and may be inaccurate or incomplete. The Service is a tool to assist merchant communication; it is not a substitute for human judgment. You are responsible for the messages sent from your connected account, and we recommend monitoring conversations. When the AI cannot answer confidently it hands off to the merchant’s team.

Fees

Any fees for the Service, if applicable, will be presented to you through Shopify billing before they apply. Unless stated otherwise, the Service may be offered free of charge during early availability.

Intellectual property

We retain all rights in the Service and its software. You retain all rights in your store data, content, and messages. You grant us the limited rights needed to operate the Service for you, as described in our Privacy Policy.

Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI replies will be accurate.

Limitation of liability

To the maximum extent permitted by law, Replyr and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service.

Termination

You may stop using the Service at any time by disconnecting Instagram or uninstalling the app. We may suspend or terminate access if you violate these Terms or if required to protect the Service or comply with the law.

Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above; continued use of the Service after changes constitutes acceptance.

Governing law

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules.
